PROLADDORE TERMS OF USE

1. Purpose of the Platform

The Proladdore Platform is a digital environment that connects Clients and Virtual Assistants to carry out projects on demand, simplifying connections remotely and without an employment relationship.

Limited Intermediation:

Proladdore is not an employer of Virtual Assistants and does not control the quality, deadlines or execution of services.

Disclaimer:

The Platform is not responsible for disputes, damages or default between the parties.

Legal Warranty:

Proladdore reserves the right to suspend or remove users who violate these Terms, without prior notice.


2. Acceptance of the Terms

By registering or using the Platform, you represent and warrant that:

2.1. Legal Capacity:

You are over 18 years old or have express authorization from a legal guardian.

2.2. Veracity of Information:

The data provided (including identity and payment methods) are accurate and up to date.

The Platform may request documents for validation (KYC).

2.3. Access Responsibility:

You are solely responsible for maintaining the security of your login/password.

Actions performed on your account will be attributed to you, even if by third parties.

You have not been previously suspended or banned from similar systems.

2.4 Additional Legal Guarantees:

Proladdore is not responsible for:

  • Losses resulting from authorized or unauthorized access.

  • Incorrect data provided voluntarily.

Violations may result in:

  • Immediate deletion of the account without refund.

  • Blocking of new registrations based on IP or document.


3. Relationship between the Parties

3.1 Independence of the Parties

Proladdore acts exclusively as a digital intermediary platform, facilitating the connection between Clients and Virtual Assistants. B2C (Business to Consumer) model. It is expressly established that:

  • There is no employment relationship: Interaction on the platform does not constitute an employment relationship, and does not generate labor rights.

  • There is no corporate or partnership relationship: Freelancers are not representatives, partners or associates of Proladdore, acting with total autonomy.

  • Autonomous nature: The services provided are the sole responsibility of the Freelancer, who defines their methods, deadlines and conditions, as long as they are in line with what was agreed with the Client.

  • No employment relationship (CLT/Brazil and Common Law/USA):

    • In Brazil, the relationship does not constitute an employment relationship under the Consolidation of Labor Laws (CLT), and does not generate obligations such as FGTS, vacations or 13th salary.

    • In the US, under the Federal Constitution and state laws (e.g.: New York Labor Law), there is no employer-employee relationship, excluding rights such as minimum wage or overtime pay under the Fair Labor Standards Act (FLSA).

    • Freelancer autonomy: The freelancer operates as an independent contractor, responsible for his/her tax burden and legal compliance in his/her country of operation.

3.2 Direct Responsibility of the Freelancer

The Freelancer fully assumes the legal and technical obligations related to the services, in accordance with the General Data Protection Law (Law 13,709/2018), LGPD in Brazil or compliance with the Laws of New York (USA), including:

  • Service quality: Guarantee that the work delivered meets the specifications agreed with the Client.

  • Meeting deadlines: The Freelancer is responsible for managing his/her time and meeting the deadlines established in the direct contract with the Client.

  • Legal compliance: Ensuring that the services do not violate local laws or third-party rights (such as intellectual property or industry standards).

  • Taxation: The Freelancer is responsible for declaring his/her income and paying any taxes, in accordance with applicable legislation. In Brazil, the Freelancer must issue tax invoices (if MEI or PJ); in the USA, declare income to the IRS and the state (NY State Tax).

3.3 Proladdore's Role in Disputes

Proladdore is not a party to agreements between Clients and Freelancers, limiting its activities to:

  • Optional mediation: In cases of disputes, the platform may offer resolution mechanisms (such as complaints systems), but is not legally obliged to intervene.

  • Restricted intervention: Only in situations of violation of the Terms of Use (e.g. fraud, bad faith, abusive behavior), Proladdore may suspend accounts or withhold amounts, without prejudice to independent legal actions.

  • Exclusion of guarantees: The platform is not responsible for losses or damages resulting from services provided by Freelancers, and it is up to users to resolve conflicts directly or through legal means.


4. Intellectual Property

4.1 Client's Rights

Transfer of ownership: Once the service has been completed and full payment has been confirmed by the Client, all intellectual property rights (including copyright, etc.) over the work developed by the Freelancer will be transferred exclusively, definitively and irrevocably to the Client.

Scope: The transfer covers both the final product and preliminary materials (drafts, studies, source codes, design files, etc.), unless otherwise provided for in a specific contract between the parties.

4.2 Irrevocable Assignment of Copyright

Extent of assignment: The Freelancer agrees to assign all moral and patrimonial rights (under applicable law, such as the Brazilian Copyright Law – Law 9.610/98 – or the U.S. Copyright Act) to the Client, including:

  • Right of reproduction, distribution and modification;

  • Right to create derivative works;

  • Right to commercial use without limitations.

Waiver of credits: Unless agreed in writing, the Freelancer will not be entitled to credits or mention as author after the assignment.

4.3 Use by Proladdore

The platform may use non-confidential materials for promotional purposes, under the following conditions:

Scope of use: Includes the public display of names, logos, excerpts from completed projects (with text or images) and testimonials on marketing channels (website, social networks, success stories).

Exceptions:

The Client or Freelancer may request the removal of any content under their authorship by formally notifying Proladdore.

Projects marked as confidential will not be disclosed without express authorization.

4.4 Guarantees and Penalties for Violation

Freelancer's Obligation:

Ensure that the work is original and does not infringe third party rights (plagiarism, unauthorized use of trademarks, etc.).

Indemnify Proladdore and the Client for any claims of infringement (indemnity clause).

Consequences:

Permanent suspension of the account in case of proven violation.

Legal actions: Proladdore will cooperate with authorities and may remove infringing content to comply with laws such as:

  • Brazil: Copyright Law (Law 9.610/98) and Internet Civil Rights Framework (Law 12.965/14).

  • USA/NY: Digital Millennium Copyright Act (DMCA) and New York State Penal Law (for cases of fraud or forgery).


5. Confidentiality

5.1 Obligation of Confidentiality

Definition of Confidential Information:

Includes any non-public data, material or communication shared between Client, Freelancer and Proladdore during the execution of projects, such as:

  • Internal documents (briefings, strategies, business plans).

  • Technical data (source codes, algorithms, design projects).

  • Business information (client lists, contractual terms, amounts paid).

  • Personal data protected by laws such as LGPD (Brazil) or NY SHIELD Act (USA).

Duties of the Parties:

Freelancers: Not to disclose, reproduce or use confidential information outside the scope of the project.

Clients: To protect sensitive data shared with Freelancers (e.g.: internal system logins).

Proladdore: To ensure digital security on the platform (encryption, restricted access), but is not responsible for leaks caused by user negligence.

5.2 Exceptions to the Duty of Confidentiality

Secrecy does not apply if the information:

  • It is already publicly known prior to disclosure between the parties.

  • It becomes public without violating this term (e.g., official release by the Client).

  • It is required by legal authority (court order, subpoena in the US, or obligation under the LGPD). In such cases, the affected party must notify the other immediately (where permitted by law).

5.3 Consequences of Violation

Compensation:

The party responsible for the leak may be sued for:

  • Losses and damages (lost profits, moral compensation).

  • Legal fines (e.g. LGPD sanctions for leaking personal data).

Platform punishments:

Permanent deletion of the offender's account.

Blocking of access to future projects.

Specific Legal Actions:

  • Brazil: Prosecution for breach of confidentiality (Art. 154 of the Penal Code) or violation of the LGPD (Art. 52).

  • USA/NY: Breach of Contract or Trade Secret Law (Defend Trade Secrets Act – DTSA).


6. Payments and Fees

6.1 Payment Processing

Proladdore acts as a financial intermediary between Clients and Freelancers, ensuring security and compliance in transactions:

Payment Methods:

We accept credit/debit cards, bank transfers, PIX (Brazil), PayPal and other methods available by region.

Payments are processed by certified gateways (e.g.: Stripe, PagSeguro, PayPal).

Security:

Financial data is encrypted and not stored by Proladdore (in compliance with PCI DSS and LGPD).

Release to Freelancers:

The amount is credited to the Freelancer's account after confirmation of completion by the Client or expiration of the review period (e.g.: 7 days).

6.2 Platform Fees

Service fee (e.g.: up to 25% of the project value).

Local taxes (e.g.: ISS in Brazil, sales tax in NY/USA).

Responsibility:

Freelancers bear the platform fees (deducted from the gross amount).

Clients pay the total agreed amount (service + fees, if applicable).

6.3 Refund Policy

General Rule:

Payments are non-refundable, except in cases of:

  • Proven fraud (e.g., unauthorized charges).

  • Mutual agreement between Client and Freelancer (subject to Proladdore's approval).

Refund Process:

Requests must be made within 14 days after the service is completed.

Proladdore will review disputes based on evidence (logs, messages, deliveries).

6.4 Chargebacks and Penalties

Unauthorized Chargebacks:

If a Customer disputes a charge without valid justification (e.g., after approving the delivery), Proladdore may:

  • Suspend the Customer's account until the resolution.

  • Charge an administrative fine (e.g., 15% of the disputed amount).

  • Affected Freelancers will have their funds blocked until the investigation is complete.

Legal Protection:

Brazil: The platform will follow the rules of the Consumer Protection Code (CDC) for disputes, but reserves the right to ban users who act in bad faith.

USA/NY: Disputes will be resolved according to the terms of the payment gateway (e.g., PayPal Buyer Protection) and state laws (New York General Business Law).


7. DONATE

7.1. Service Fee

To ensure continuous improvement of the platform, offer a safe and quality experience to users and maintain a reliable environment for financial transactions, the platform could charge a fee of up 25% on the total value of each donation (DONATE) made. This fee contributes to the improvement of services, technical support, development of new features and maintenance of transaction security.

7.2. Change in Fee

The platform reserves the right to change the fee applied to donations, upon prior notice to users and updating of these Terms of Use.

7.3. Transaction Security

All transactions carried out through the DONATE functionality are processed with encryption and data protection systems, ensuring the security of both the donor and the recipient. The platform is not responsible for any conflicts external to transactions validated in our system, but works to maintain a transparent and reliable environment for the community.

7.4. Purpose of Donate

The DONATE feature aims to encourage and value good use of the platform, rewarding users who contribute positively to the community. By making or receiving a donation, the user agrees to use this feature ethically and in accordance with the platform's rules.

7.5. User Responsibility

The platform does not interfere in the agreement established between users regarding donations, but recommends that both parties are aware of the conditions described herein. Any improper use or attempted fraud may result in sanctions, including account suspension.


8. Conduct on the Platform

8.1 Express Prohibitions

Proladdore requires all users (Clients and Freelancers) to act ethically, legally and transparently. The following conduct is expressly prohibited:

A. Evasion of Fees and External Payments

Prohibition:

Any attempt to make payments or transactions outside the platform (e.g.: direct transfer, PIX, personal PayPal) to avoid fees.

Justification:

  • Proladdore relies on these fees to maintain the security, support and functionality of the platform.

  • External transactions are not protected against fraud or disputes.

B. Illegal or Abusive Content

Prohibition:

Publishing or requesting materials that:

  • Violate laws (piracy, counterfeiting, illegal pornography).

  • Promote hatred, discrimination (racial, gender, religious) or violence.

  • Deceive other users (fraud, scams, false information).

Examples:

  • Freelancer offering "illegal hacking" services.

  • Client requesting plagiarized or copyright-infringed content.

C. Review Manipulation and Bots

Prohibition:

Faking reviews (fake profiles, self-reviews, extortion for ratings).

Using bots, scripts, or automation to inflate statistics or circumvent systems.

Impact:

Distorts the reliability of the platform and harms honest users.

8.2 Penalties for Violations

Proladdore will not tolerate prohibited behavior and will apply the following measures:

a) Penalties on the Platform

Formal warning and possible temporary suspension (7 to 30 days).

Permanent ban without refund of outstanding balances.

Removal of illegal or fraudulent content.

Note: There is no order among the penalties, any sanction may be applied according to the severity of the violation.

b) Legal Actions

Notification to the authorities:

  • Brazil: Report to the Public Prosecutor's Office (digital crimes, LGPD) or Procon (abusive commercial practices).

  • USA/NY: Report to the FTC (Federal Trade Commission) or NY Attorney General (fraud, cybercrime).

Compensation:

Proladdore may take legal action for losses and damages caused to the platform or other users.

8.3 Reporting and Monitoring

How to report violations:

"Report" button in profiles, messages or projects.

Sending evidence (prints, emails, logs) to staff@proladdore.com

Investigation:

The team will analyze the case within 15 days and provide feedback to the complainant (without exposing confidential data).


9. Conflict Resolution

9.1 Friendly Negotiation (Mandatory)

Initial Process:

Any dispute between Clients and Freelancers must be formally communicated through the platform (via the complaints system or official email).

The parties have 30 calendar days to attempt a direct agreement, mediated by Proladdore (when requested).

Required Documentation:

Proof of payment, project contract, messages exchanged and deliveries made.

9.2 Arbitration (Optional, if Negotiation Fails)

Applicable Rules:

If negotiation fails, the parties may opt for binding arbitration, administered by:

  • AAA (American Arbitration Association) for international disputes.

  • Brazilian Arbitration Chamber (e.g.: CAMARB) for Brazilian users.

Procedure:

Location: AAA headquarters in New York (USA) or in Brazil, Minas Gerais.

Costs: Divided between the parties, unless the arbitrator decides otherwise.

Result: The arbitration decision is final and enforceable in court.

9.3 Jurisdiction

Exclusive Jurisdiction:

For users outside Brazil: Legal actions will be processed in the courts of New York (USA), under the state and federal laws of the USA.

For Brazilian users: The Central Court of Nova Lima (MG, Brazil) is elected, with application of the Brazilian Code of Civil Procedure.

Exception:

Proladdore reserves the right to take legal action against users in their countries of residence for collection or moral damages.


10. Limitation of Liability

Proladdore acts exclusively as a technical intermediary, connecting Clients and Freelancers, and assumes no responsibility for the following aspects:

10.1. Express Exemptions

The Platform DOES NOT GUARANTEE:

  • Quality of Services: Freelancers are independent; Proladdore does not validate skills, professional licenses or results.

  • Guaranteed Results: Projects depend exclusively on the Freelancer's performance. The platform does not guarantee that the objectives will be achieved.

  • Absolute Security: Although it adopts reasonable measures (e.g. encryption), it does not eliminate the risk of leaks due to third-party failures.

10.2. Excluded Damages

Under no circumstances shall Proladdore be liable for:

  • Loss of profit or lost opportunities.

  • Indirect Damages (e.g. loss of data, reputation).

  • User Conduct (e.g. delays, fraud, plagiarism).

10.3. Client/Freelancer Responsibility

a) Client

Duty of due diligence:

Check the Freelancer's portfolio, reviews and track record before hiring.

Require clear contracts (scope, deadlines, etc.).

b) Freelancer

Legal Compliance:

Brazil: Issue invoices (MEI/PJ) and collect taxes (IR).

USA: Declare income to the IRS and follow state laws (e.g.: NY Freelance Isn't Free Act).

10.4. Continuous Availability

The Platform may undergo technical interruptions without prior notice.

Technical interruptions:

Proladdore may experience outages due to maintenance, cyberattacks or failures in third-party services (e.g.: AWS, Cloudflare).

No right to compensation for losses during unavailability.

10.5. Data Security

Limited protection:

Proladdore adopts reasonable measures (e.g. SSL encryption, two-factor authentication), but does not control vulnerabilities in:

  • Payment providers (e.g. Stripe flaws).

  • Negligent actions by users (e.g. sharing passwords).


11. Privacy and Data Protection

11.1 Collection of Personal Data

Proladdore collects and processes personal data strictly necessary to enable its services (name, email, payment, etc.) are collected to operate services.

11.2 Data Sharing

Data may be shared with:

  • Payment Partners (Stripe, PayPal): To process transactions (these services have their own privacy policies).

  • Advertisers: Anonymized data for personalized advertising (user can opt-out in settings).

  • Legal/Government Authorities: In compliance with legal orders (e.g. IRS, DMCA subpoenas in the USA).

11.3 Data Retention and Deletion

Standard term: Data is stored for 5 years after the last activity (for audit purposes, complaints or tax obligations).

11.4 User's Rights

12. Use of Cookies and Tracking

Proladdore uses cookies and similar technologies to ensure the proper functioning of the platform, improve your experience and offer relevant advertisements.

12.1. Necessary Cookies

These are essential for the basic functioning of the platform, such as:

  • Keeping your session active after logging in.

  • Ensuring the security of your account (fraud protection).

  • Remembering your language or region preferences.

You cannot disable these cookies, as they are necessary for the platform to function properly.

12.2. Analytics and Marketing Cookies
  • Google Analytics and Hotjar: Collect anonymous data about how you use the platform (pages visited, browsing time) to improve our services.

  • Meta Pixel and Google Ads: Allow us to display personalized ads based on your browsing behavior (if you have accessed Proladdore from an ad).

12.3. How to Control or Disable Cookies

You can manage your cookie preferences in two ways:

Browser settings:

  • In Chrome: Go to Settings > Privacy and Security > Cookies.

  • In Firefox: Options > Privacy and Security > Tracking.

  • In Safari: Preferences > Privacy.

Direct opt-out in third-party tools:

  • Google Analytics: Opt-out tool.

  • Meta Ads: Manage preferences.

12.4. Storage Time
  • Session cookies: These are deleted when you close your browser.

  • Persistent cookies: These can last up to 12 months (except those essential to comply with legal obligations).

Please note: If you disable non-essential cookies, parts of the platform may not function properly and the ads you see will be less relevant.


13. Advertising (Ads)

How Our Advertising Works

Proladdore displays relevant ads to help keep the platform interactive. These ads are personalized based on:

  • Your interests (identified by browsing cookies)

  • Your activity on the platform (such as the types of projects you view)

  • Basic demographic information (such as region and language)

Technologies Used

We work with trusted advertising networks, including:

  • Google Ads - For advertising on search engines and partner sites

  • Meta Ads - For campaigns on Facebook and Instagram

  • Programmatic advertising networks - Which help to serve relevant ads

What Data Is Used?

We only collect non-personal data for advertising

What we DON'T do:

  • × We do not share information such as email or CPF with advertisers

  • × We do not use sensitive data for advertising

14. Community Terms

Proladdore is a platform that values respect, collaboration, and the safety of all users. By participating, you agree to follow these basic rules of coexistence:

14.1 Mutual Respect

The following are strictly prohibited:

  • Hate speech: No form of discrimination, racism, xenophobia, homophobia, or personal attacks.

  • Harassment: Stalking, threats, offensive comments, or public embarrassment.

  • Spam: Repetitive messages, unauthorized advertising, or links to addresses outside the platform.

  • Illegal content: Nothing related to fraud, lewd acts, violence, or any criminal activity.

14.2 Moderation and Consequences
  • Immediate removal: Proladdore may delete without prior notice any content that violates these terms.

  • Suspension or ban: Depending on the severity, your account may be temporarily suspended or permanently banned.

  • Reporting: If you find something that violates the rules, report it using the report button or contact support.

14.3 User Responsibility
  • Clients and Freelancers must communicate professionally.

  • If a project involves sensitive discussions, keep the dialogue in the private messages tab, not in public comments.

  • Do not try to bypass blocks by creating new accounts – this will lead to a permanent ban.

How to Maintain a Healthy Environment

✔ Be polite, even when criticizing.

✔ Report abusive behavior.

✔ Avoid political or religious discussions on the platform.

Serious violations will be reported to authorities if necessary (such as threats or criminal content).


15. Updates to the Terms of Service

Proladdore may modify these Terms of Service from time to time to ensure that they reflect:

  • Evolution of our platform and services

  • Changes in business practices

  • New legal or regulatory requirements

How Will We Be Notified?

For significant changes, we will send you a notice at least 7 days in advance.

Notification will be made by:

  • Registered email

  • Message on the platform

  • Banner highlighted on the website

Your Right to Choose:

You will have 30 days to decide whether to accept the new conditions

You may:

  • Continue using the service as normal (accepting the new terms)

  • Export your data and close your account

  • Contact Support for review and to clarify any doubts

Immediate Exceptions

Changes may be applied without prior notice only when:

  • Required by judicial or regulatory order

  • Necessary to correct serious errors

  • Related to urgent security issues

The Term will be considered Valid from the Publication date. The user will tacitly accept the new Term after continuous use of the platform under the new Terms.

Important tip: We recommend that you:

16. Final Provisions

16.1 Severability (Salvatorian Clause)

Principle: If any part of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, such decision will not affect the validity of the remaining clauses.

Example: If a clause on arbitration is invalidated by a court, the rules on payments, privacy and conduct will remain valid.

16.2 Prohibition of Assignment

Rule: No part of this Agreement may be transferred or assigned (in whole or in part) without the prior written consent of Proladdore.

Exception: Proladdore may freely assign this Agreement in cases of:

  • Corporate restructuring (merger, acquisition).

  • Assignment required by law.

16.3 Applicable Law and Jurisdiction

Primary Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the State of New York (USA), without regard to the Federal Constitution of the USA.

Chosen Jurisdiction:

Any legal dispute shall be resolved accordingly with the laws of the State of New york.

For Brazilian users: Brazilian laws shall apply to specific matters and the secondary jurisdiction of the District of Belo Horizonte/MG, Brazil.

16.4 Indemnification ("Hold Harmless")

You agree to indemnify and hold Proladdore, its directors and employees harmless from:

Claims from third parties caused by:

  • Your breach of this Term.

  • Illegal content or copyright infringement published by you.

Legal costs arising from:

  • Legal or arbitration actions related to your use of the platform.

  • Fines imposed by regulatory bodies due to your conduct.

Example: If a Freelancer uses protected images in a project and the Client is sued, the Freelancer will bear all of Proladdore's legal expenses involved in the case.
